SUPERMODELFIT工作室顾客免责协议 SERVICE AGREEMENT
第一章 总则
第一条 本中心:上海思莫弗健身有限公司,以下简称本工作室。
第二条 本工作室与持卡人均有义务遵守此协议,且任一方均不得擅自解除本协议。
第二章 持卡人之权利与义务
第三条 持卡人根据自身会籍类型的不同,相应享有使用既定本工作室服务与各种由本工作室提供的专业服务的权利。根据本工作室的实际运营情况,本工作室应提前告知持卡人专业服务所包含的内容。持卡人有权自行选择当时公布的有效的专业服务和课程内容。
第四条 须临时延期或冻结卡种或会籍服务,须遵循下列规定:
课程年卡自动享有40天无条件冻结,请至少提前24小时告知客服,免费完成手续。否则将无法受理。
课程半年卡自动享有20天无条件冻结,请至少提前24小时告知客服,免费完成手续。否则将无法受理。
持卡人因疾病、意外伤害或怀孕可享受连续不多于12个月的免费冻结时间。办理时必须提供三级甲等以上医院出具的“不建议运动“证明或怀孕有效证明。请至少提前24小时告知客服,一并提供证明,完成手续。
课程卡临时冻结期限到期后,将自动恢复,并开始继续计算时间或有效期。本工作室将不另行通知提醒。
第五条 课程卡仅供本人(以本合同首部”姓名“一栏印刷体为准)使用,不得出借他人或由他人使用。
第六条 持卡人应个人原因,无法继续此协议内的服务内容。可由持卡人自行转让,并告知提前转让信息,本工作室收取500元的手续费用。工作室将和接受转让方重新签署协议。
第七条 持卡人对本工作室设施、物品造成损坏,需按市场价格赔偿。
第八条 课程卡启动:“卡种有效期”为会员在本工作室在线预约系统激活日为启动时间。
第九条 持卡人在购买本工作室“会籍服务”或“课程卡种”的72小时内,卡未激活状态下,可无条件享受退款;持卡人需支付消费的10%的手续费,退款周期为30天。
第十条 持卡人在课程卡种有效期到期后,可自行延续相同内容,或选择其他卡种。本工作室在收到相应的款项后,方可完成续卡,开设新卡种的手续。
第十一条 所有首次体验卡种(包括首次体验2次卡、首次体验10次卡和首次体验月卡等)持卡人只可享受其中一种。不可叠加购买。
第十二条 未满18周岁的体验者,必须获得法定监护人的书面许可,或由监护人陪伴一起参与课程。
第十三条 在持卡人签署本协议后,本工作室不负责就持卡人接受集体课程服务的身体状况及能力向持卡人提出医学意见和建议。如持卡人在签署本协议之时或之后有任何健康方面的担忧,应在参与集体课程或私人训练之前咨询专业医生。
第十四条 为了保证持卡人健身运动的安全与舒适,持卡人必须文明穿着进场,即必须在运动时穿着与之相应的运动服装并不建议佩戴首饰,持卡人因锻炼时衣着不符合运动需求,经本工作室交涉仍拒绝纠正的,则本工作室有权中止持卡人当节课程。并按照规定扣除课时或有效期限。
第十五条 为保障持卡人安全,非课程期间,持卡人不得在无本工作室教练指导下,自行训练。除持有健身教练资格资质的专业人士外,需向本工作室工作人员提供相关证明,并获得许可。相关责任由持卡人自负。
第十六条 健身过程中,持卡人必须在本工作室教练指引下使用各种健身器械。因无人指导而错误使用健身器械导致的人身伤害等意外情况,本工作室无需承担责任。
第十七条 持卡人在参加训练前和训练过程中须确保自已的身体处于健康状态,没有不存在任何诸如:心脏病、精神病、肺结核、哮喘病、支气管炎、肝炎、肺炎、咽喉炎、癫痫等不适合运动的疾患和身体损伤。非因工作室原因,持卡人同意在运动中因身体不健康而引起一切损伤及后果,相关责任由持卡人自负。
第十八条 持卡人患有以上疾病,且隐瞒病情入场锻炼的,本工作室一经得知有权终止持卡人资格,并保留追究其法律责任的权利。
第十九条 持卡人不得在本工作室从事商业经营性业务,例如,兜售营养品、收费教课等,否则本工作室有权要求持卡人离开工作室并解除本协议。
第二十条 持卡人的个人行为严重影响其他持卡人正常运动的,经本工作室交涉仍拒绝纠正的,则本工作室有权立即解除本协议。如造成本工作室或第三人伤亡的,本工作室有权要求该持卡人赔偿(包括但不限于经济赔偿,律师费、鉴定费),如由本工作室代为赔偿的,本工作室有权向该会员追偿。
第二十一条 若持卡人发生任何恶意言语攻击他人、打架斗殴、侵犯他人隐私影响工作室经营的行为时,本工作室有权立即解除本协议。如造成本工作室或第三人伤亡的,本工作室有权要求该会员赔偿(包括但不限于经济赔偿、律师费、鉴定费等)。如由本工作室代为赔偿的,本工作室有权向该会员追偿。
第三章 持卡人参与集体团课,特训课程等
第二十二条 常规团课至少3人开课,否则将自动取消课程。本工作室将在课程开始前6小时通过微信,电话或短信形式通知已经预约的学员。
第二十三条 课程预约
常规团课课表每2周更新一次,发布于本工作室官方微信服务号。
所有课程均只通过本工作室官方微信服务号的预约通道在线自助预约。恕不接受微信群、微信私信或公众号留言内的课程预约。
第二十四条 课程取消
课程开始6小时之前的取消,通过本工作室官方微信服务号的预约通道自助取消。
课程开始6小时内的取消,自助取消通道关闭。请联系工作室客服微信或致电:15000553198。会籍服务持有者按照免责取消权益条款,享受相应的免责取消。否则任意次卡直接扣除1次;任意期限卡直接扣除1天有效期限。

第二十五条 课程迟到
建议课程开始前15分钟到达教室。为避免影响课程的进行,和持卡人的个人安全,课程开始后10分钟,教室将关闭。持卡人将不能参加此堂课程。
持卡人于课程期间到达工作室,将不予扣除课程。并在当日课程尚有空位的情况下,参加当日其它课程。否则,任意次卡扣除1次课时;任意期限卡扣除1天有效课时期限。
第二十六条 为保障上课环境和质量,工作室所有课程一律不允许非预约持卡人旁听。本工作室教练制定人员和工作人员除外。
第四章 会籍服务持卡人之权利和义务
第二十八条 持卡人根据自身需求,自行选择是否购买本工作室的会籍服务内容。有效期限以本合同开始注明的有效期为准。会籍服务包括:
1节私教课。内容包含身体素质测试,可携带1位闺蜜共同参加。
黑色SMF工作室限量运动服1套。以工作室既有库存为主,可选择1件上装和1件下装
本工作室所提供的限量运动服在有效期内的免费清洗
本工作室所提供的限量运动服在有效期内的免费寄存
每月免费邀请1位闺蜜参加1次团课体验。所携带的闺蜜需提前向工作室预约课程。以自然月计算,过期作废。
会员专享课程。以课表公布为准。购买会籍服务后,可自助报名参加。
成功推荐朋友加入工作室,朋友消费后,可享受消费金额的5%-10%的抵用券奖励。参见现金券票面上的使用规则。
每月出勤率最高奖励。
按照所购买的课程卡种。享受每月限定次数的课前2-6个小时的免责取消。年卡持卡人每月3次,半年卡每月2次,月卡每月1次,10次次卡每月1次。时间以自然月计算。后续次数开始,直接扣除相应的课时或有效期限。
第二十七条 所有会籍服务内提供的任何产品,服务等,均不可调整退换。
第二十八条 会籍服务内提供的免费寄存、清洗服务,适用于会籍服务中提供的运动服。每人限寄存上下装和运动内衣,最多不超过5件
第二十九条 本工作室在清洗过程中,因洗涤原因产生的破损,可按照按照下列条例赔偿:
洗涤运动服使用1-6个月,本工作室根据实际库存,赔偿相对应的会员运动服。
由于运动服的使用频率较高,洗涤运动服使用超过6个月,本工作室不负责赔偿责任,应配合持卡人直到物品老化,报废为止。
洗涤运动服在清洗过程中丢失,本工作室根据实际库存,赔偿相对应的会员运动服。
第三十条 持卡人应爱惜运动服,做到不拖、抹、擦、吸污水等,特别是顽固性污迹,尽量减少二次人为污渍。积极配合本工作室做好归还洗涤工作。在完成运动后,主动将需要清洗的会员运动服归还到前台工作人员处。对于任何遗留在公共更衣室内的会员运动服丢失,本工作室将不承担任何赔偿责任。
第三十一条 衣物在使用和洗涤过程中,不可避免存在质量自然损耗。本工作室对衣物在运动中损耗,损毁和在洗涤过程中,衣物的褪色、缩水、自然霉烂,不可清除的污染等不负责任。
第三十二条 会籍服务内提供的私教课程,主要用于持卡人的体能测试。内容按照本工作室教练指导的实际情况,不可调整更换。
第五章 购买私人教练课程
第三十三条 持卡人自愿购买私人教练课程,本工作室可以根据持卡人训练实际情况配备相应的教练。
第三十四条 持卡人应提前72小时与本工作室约定私人教练的课程时间,按照工作室实际情况安排课程时间。持卡人与教练提前预约后如不能到场,则须提前4小时通知本工作室,否则自动扣除1节私教课时。
第三十五条 持卡人签署本协议时,应保证身体状况良好(无任何医学证明原因、损伤或残疾阻碍),不影响持卡人参与本工作室内的集体课程和私人教练训练服务。
第六章 公共更衣室和更衣柜的使用管理规定
第三十六条 持卡人需保管个人现金、电脑、手机、金银首饰等贵重物品。公共更衣柜为放置衣物等日常用品之用,不建议存放贵重物品,且禁止存放易燃易爆及非法物品。
第三十七条 公共更衣柜为公用临时使用,持卡人无论任何原因离开本工作室时,必须带齐个人物品,清空更衣柜。本工作室不就任何在公共更衣室遗落丢失的物品负责。
第七章 必须申报和禁止的行为
第三十八条 患有皮肤病、传染病、心脏病、高血压、糖尿病、肝、肾功能不良及其他不适合本工作室活动的疾病患者,入会前须向本工作室说明和申报以往的病史,因隐瞒上述各类病史入会后在本工作室发生意外或加重病情的,持卡人应承担相应责任。
第三十九条 持卡人在饮酒后并于体内酒精未分解挥发之前不得进入本工作室参加课程。如有发现,本工作室有权禁止持卡人参与当日的所有课程,且按照持卡人持有卡种自动扣除当天的课时或有效期限。
第四十条 为了保护持卡人的个人权益,前台收银台是本中心唯一指定所有付费项目的收费地点,请持卡人每次消费后向本中心自动索取凭证,并保证约课系统内的卡种和有效期与消费一致。
第四十一条 持卡人如需开具发票,需于消费当月的月底前告知本工作室,一并提供发票抬头,税号及相关信息,逾期作废。按照法律规定,本工作室开具的发票项目为“健身服务费”,不可变更。
第八章 附则
第四十二条 本工作室正式运营后,如因政府法律变更、站乱、自然灾害等不可抗力致无法经营时,自正式停业之日起,本工作室将按月将剩余未使用的卡费退还。(以贵宾权形式的馈赠办理的产品除外)
第四十三条 本协议内首部的持卡人信息如有变更,需第一时间通知本工作室进行修改。
第四十四条 本协议一式二份,本工作室和持卡人各保留一份。经签署生效。
本人已确定阅读此服务合同,同意,接受并遵守上述条款。
Chapter I _GENERAL PRINCIPALS
Article 1 SMF JYL Co., Ltd. is hereinafter referred to as “the Studio”.
Article 2 The Studio and the Cardholder shall comply with this Agreement, and neither party may arbitrarily terminate this Agreement.
Chapter II_CARDHOLDER'S RIGHTS AND OBLIGATIONS
Article 3 The Cardholder has the rights to receive specified and professional services provided by this Studio based on the type of the membership. The Studio has the right to adjust the content of such professional services after giving a prior notice to the Cardholder, according to the actual operational status of this Studio. Subject to the latest Details on WeChat Official announcement.
Article 4 Class Pass cards are available for the Cardholder (subject to the Cardholder Information first mentioned above herein) only, and may not be allowed to be lent to or used by others. (Shared Pass/ Coupons are excluded)
Article 5 If the Cardholder intend to temporarily extend or suspend the card which she holds or enjoys, she shall conform to the following provisions:
> The Cardholder of Annual Pass enjoys the right of card suspension for forty (40) days with no conditions.
> The Cardholder of Six Month Pass enjoys the right of card suspension for twenty (20) days with no conditions.
> The Cardholder may suspend her membership for no more than twelve (12) months for free in cases of diseases, accidental injury or pregnancy. She must provide a certificate for “Not Recommended for Sports” or pregnancy issued by a hospital of grade 3A or higher level.
Please inform the Customer Service at least 24 hrs in advance and complete relevant formalities free of charge; otherwise, the suspension request may not be accepted.
Upon expiration of such temporary suspension, the course cards will be recovered automatically, and the time or term of validity will continue to be calculated. The Studio will not send a separate notice or reminder. Even after the course is cancelled, the time will still be calculated accordingly. If Cardholder needs to make another reservation of the course before the reactive time, please contract customer service for manual operation.
Article 6 The starting time for the course card shall be the time when the Cardholder activates the card through the online reservation system of this Studio. The term of validity for the card shall commence as of the starting time.
Article 7 The Cardholder will be able to request refund without active the card. 20% of the total consumption will be charged as the service fee. The refund period is thirty (30) working days.
Article 8 The Cardholder may renew the same Pass after the expiry date, or choose another Pass which are the same type. (except for any special promotion Pass). The card can only be reactivated or added after receiving the full payment.
Article 9 The trial pass can be only purchased once (including the Trial 2 session group pass and Trial 10 group pass, etc.) and used repeatedly.
Article 10 The experiencers who are under the age of eighteen (18) must obtain the written approval of their statutory guardians or participate in the courses in the company of their statutory guardians.
Article 11 This Studio is not liable to provide medical suggestion and advice for the Cardholder with respect to his/her physical conditions and abilities for receiving group class services after the Cardholder signs this Agreement. If the Cardholder has any concern about his/her health when or after he/she signs this Agreement, he/she shall consult with professional doctors prior to participation in such group classes or private training, and decide whether to accept such class services and training according to doctors’ advice (such physical quality tests as provided by this Studio may not substitute for doctors’ suggestions and diagnosis, and therefore cannot be the standard which decides whether the Cardholder is healthy or not). The Cardholder shall be responsible for all damage and consequences arising out of his/her unhealthy condition.
Article 12 In order to ensure safety and comfort, The Cardholder must be dressed in civilized costume, that is, he/she shall wear suitable sportswear; and jewelries are not recommended during exercising. This Studio has the right to suspend the current class and deduct the class period or term of validity according to its rules if the Cardholder’s clothing does not meet exercise needs when taking exercises and he/she refuses to correct after this Studio interferes.
Article 13 For the purpose of ensuring safety of the Cardholder, he/she may not take exercises by him/herself without guidance of this Studio’s trainers during the time when relevant classes are not given, , unless the Cardholder is a professional person with fitness coach qualification, and in which case, it is required to provide relevant proof to the staff of this Studio and obtain our approval. Relevant responsibilities shall be borne by the Cardholder itself.
Article 14 During workout, the Cardholder must use the fitness equipment under guidance of this Studio’s trainers. This Studio may not undertake any liability for accidents such as personal injuries caused by incorrect use of fit equipment without any guidance.
Article 15 The Cardholder must ensure that he/she is healthy and does not have such diseases or body injury which make he/she unfit for exercise. When and before the Cardholder takes exercises. The Cardholder shall be liable for all injuries and consequences for his/her unhealthy condition during exercise and for reasons not attributable to this Studio (such physical quality tests as provided by this Studio may not substitute for doctors’ suggestions and diagnosis, and therefore cannot be the standard which decides whether the Cardholder is healthy or not).
Article 16 The Cardholder may not carry out commercial and operational business in this Studio, such as peddling nourishment and charging for instruction; otherwise, this Studio has the right to ask the Cardholder to leave and terminate this Agreement.
Article 17 Where the Cardholder damages facilities and goods of this Studio, he/she shall make compensate according to fair market values.
Article 18 In case that any of the following circumstances occurs to the Cardholder, this Studio has the right to immediately terminate this Agreement and not refund any expense or make any compensatory payment:
> If cardholder’s personal behavior seriously affect other cardholders’ rights.
> The Cardholder conducts any act which breaks laws or infringes others’ benefits, such as any malicious verbal attack on others, fighting, and infringement upon others’ privacy; or
> Any of the Cardholder’s acts affects normal operation of this Studio.
> The Cardholder has repeatedly violated the operation rules are regulations of the Studio.
In the event that the Cardholder causes death or personal injury to any of this Studio’s personnel or any third party, this Studio has the right to require the Cardholder to make compensation (including but not limited to economic losses, attorney fee, and appraisal cost). If this Studio make such compensation, it shall be entitled to make a claim against the Cardholder (including but not limited to economic losses, attorney fee, and appraisal cost).
Chapter III_CARDHOLDER'S PARTICIPATION IN GROUP CLASSES, PRIVATE CLASSES, BOOTCAMPS, WORKSHOPS AND OTHER CLASSES
Article 19 Normal group classes shall have three (3) persons at least; otherwise, they will be cancelled. This Studio will notify the Cardholder who has made reservation for such classes Six (6) hours prior to commencement of such classes through WeChat, telephone or short message by using the contact information left by the Cardholder.
Advance booking is available 5 days prior to the date of the class.
The normal group class schedule will be updated every two (2) weeks, which shall be published through this Studio’s WeChat Service Account “Supermodelfit”.
All classes shall be only reserved through the reservation channel of this Studio’s WeChat Official Service Account. Class reservation through other methods such as WeChat group, private messages through WeChat, or leaving a message on the Public Service Account is not acceptable.
To ensure the best health and training results for Cardholder all Cardholders can reserve up to 2 classes per day.
Article 21 No-show and Late Cancellation
In case of cancellation six (6) hours prior to commencement of such classes, the Cardholder may cancel by himself/herself through the reservation channel of the Studio’s WeChat Official Service Account.
The self-cancel channel closes within Six (6) hours of the start of the class. If the Cardholder need to cancel, he/she need to contact Studio Customer Service WeChat or call: 150 0055 3198. Membership Service Holders can enjoy the free cancellation according to the latest membership service term released by the Studio.
Otherwise any Session card will be directly deducted one (1) class period; and any Date card will be directly deducted one (1) day of valid period.
Article 22 Being Late for Classes
It is recommended to arrive at the classroom fifteen (15) minutes prior to commencement of such classes. In order to avoid affecting studio process and personal safety of the Cardholder, the classroom will be shut ten (10) minutes after the class begins, and the Cardholder will not attend this class.
The hammock height must be measured in advance for all aerial classes. So once the class starts, the class room will be closed and Cardholder who are late for the class will not be able to attend the class.
All marked as advanced, level 2 or special classes, the class room will be closed and Cardholder who are late for the class will not be able to attend the class.
The Cardholder who arrive at the Studio before the end of the class can sign in, and the date card will not be deducted days. The Cardholder may choose to change class free of charge if other classes are still available. If there is no free class or valid class, the Session Card will still deduce one class
Article 23 In order to ensure good class environment and quality, no cardholder without reservation is allowed to be present as an observer at any of this Studio’s classes, except for this Studio’s specified coaches and staff.
Chapter IV_RIGHTS AND OBLIGATIONS OF MEMBERSHIP SERVICE CARDHOLDERS
Article 24 The Cardholder shall purchase the Studio’s membership services based on his/her own needs. The term and details of The membership services are subject to announcement by the Studio
Article 25 Member PT contained in the membership services are mainly used for physical quality tests for the Cardholder. Their contents shall be subject to the actual conditions under guidance for the Studio’s trainers, and may not be adjusted or exchanged.
Article 26 All products, services and the like contained in the membership shrives may not to adjusted, returned or exchanged or refund if no quality issues exist.
Article 27 Such free deposit and cleaning services contained in the membership services shall only apply to the sportswear contained in the membership services. Each member may only deposit no more than five (5) pieces including top, bottoms and sports bars in total.
Article 28 The Studio may make the following compensation for any damage arising out of washing-up during laundry:
If the sportswear delivered for washing-up has been used for less than three(3) months, the Studio will compensate such sportswear based on the actual inventory.
The Studio will not undertake the liability for compensation for such sportswear which has been used for more than three(3) months due to high frequency of use.
The Studio will compensate sportswear based on the actual inventory if the sportswear is lost during laundry.
Article 29 The Cardholder shall take good care of her sportswear, may not mop, wipe, scrub, or absorb dirty water with such sportswear, especially not contaminate them with stubborn stain, reduce secondary man-made smudge as possible, and actively cooperate with the Studio in return and cleaning.
Article 30 After the classes, The Cardholder shall take the initiative to return her sportswear to the receptionists. The Studio will not undertake any liability for the compensation for loss of any member’s sportswear left in the locker room or any public area.
Article 31 The wardrobe includes at the membership service is held by each Cardholder and stored separately. Without the permission of the Cardholder, no one is allow to lent to others.
Chapter V_PURCHASING PRIVATE TRAINING COURSES
Article 32 The Cardholder may voluntarily purchase private coach courses, and this Studio will offer proper coaches based on the actual conditions of his/her training.
Article 33 The Cardholder shall make a reservation for private courses 72 hours in advance with this Studio, which will arrange the course schedule according to actual conditions. If the Cardholder fails to arrive on time after he/she makes reservation with the coaches, he/she shall give a notice to this Studio Six (6) hours in advance; otherwise, this Studio will automatically deduct one (1) private training class.
Article 34 When the Cardholder signs this Agreement, he/she shall ensure that he/she has a good health condition (for example, he/she did not have any disease, injury or is not disabled), and such condition will not affect the Cardholder’s participation in this Studio’s group courses and private coach training services.
Chapter IV_MANAGERIAL STANDARDS FOR PUBLIC CHANGING ROOMS AND LOCKERS
Article 35 The Cardholder shall take good care of his /her cashes, computers, mobile phones, gold and silver jewelries, and other valuables.
Article 36 The lockers are used for keeping necessities including clothes, and it is not recommended for keeping valuables, and is prohibited to keep dangerous goods such as inflammable and explosive articles, and unlawful materials. Once this Studio discovers that the Cardholder keeps such dangerous goods and unlawful materials, it has the right to dispose of such goods and materials and pursue relevant responsibilities against the Cardholder.
Article 37 The lockers are used for temporary public purpose only. The Cardholder must take away all of his/her personal articles and empty the locker before he/she leaves this Studio for any reason. This Studio will not be responsible for any loss of such articles at the public changing rooms.
Chapter VI_ACTS WITH MUST BE REPORTED AND PROHIBITED
Article 38 The Cardholder who has skin diseases, infectious diseases, heart diseases, hypertension, diabetes, hepatic and renal dysfunction, and other diseases which make him/her unfit to take part in the exercises provided by this Studio, shall specify and report the medical history of diseases to this Studio, and shall undertake corresponding responsibilities for accidents or aggravation of diseases after admission into this Studio without disclosing such medical history.
Article 39 No Cardholder is allowed to enter into this Studio for any class after he/she drinks and before the alcohol decomposes. Once this Studio discovers, it has the right to prohibit the Cardholder from participating in all classes on the same day, and automatically deduct the class periods or valid term on the same day based on the type of the card which the Cardholder holds.
Article 40 In order to protect the Cardholder’s personal interests, the Cashier Desk of the Reception shall be the only charging place specified for all payment projects. The Cardholder shall voluntarily ask for receipts after he/she makes payment, and ensure that the type and term of validity of the card in the reservation system are consistent with those relating to the card which he/she holds for consumption.
Article 41 If the Cardholder intends to obtain invoices, it is required to notify this Studio prior to the end of the current month, along with relevant invoice title, tax number, and other information. Such invoices will not be issued after such period expires. According to law, the invoice item for those issued by this Studio is “fitness service fee”, which is unchangeable.
Chapter VII_SUPPLEMENTARY PROVISIONS
Article 42 After this Studio is in official operation, if the Studio is unable to operate due to force majeure such as movement law change, station disorder, natural disaster, etc. The Studio will not assume any remaining unused part of the reimbursement.
Article 43 In case of any change to the cardholder information first mentioned above herein, the Cardholder shall immediately give a notice to this Studio for modification.
Article 44 Any supplementary agreement made to implement the service projects hereunder, shall take effect after this Studio affixes its common stamp or the authorized representative and the Cardholder sign thereon. Such supplementary agreement shall have the same effect as this Agreement.
Article 45 Formation, validity, performance, dissolution, termination and interpretation hereof and dispute settlement shall be governed by laws of the mainland of the People's Republic of China (i.e. excluding the Hong Kong Special Administrative Region, Macao Special Administrative Region, and Taiwan).
Article 46 Any controversy, dispute or objection between the parties hereof arising out of or in connection with this Agreement shall be resolved by this Studio and the Cardholder through amicable consultation. In case of failure to reach an agreement, either party may file a lawsuit to the court in the place where this Studio is located.
I confirm that I have read and understood all contents of this Agreement, and consent to accept and comply with such terms.
第一条 本中心:上海思莫弗健身有限公司,以下简称本工作室。
第二条 本工作室与持卡人均有义务遵守此协议,且任一方均不得擅自解除本协议。
第二章 持卡人之权利与义务
第三条 持卡人根据自身会籍类型的不同,相应享有使用既定本工作室服务与各种由本工作室提供的专业服务的权利。根据本工作室的实际运营情况,本工作室应提前告知持卡人专业服务所包含的内容。持卡人有权自行选择当时公布的有效的专业服务和课程内容。
第四条 须临时延期或冻结卡种或会籍服务,须遵循下列规定:
课程年卡自动享有40天无条件冻结,请至少提前24小时告知客服,免费完成手续。否则将无法受理。
课程半年卡自动享有20天无条件冻结,请至少提前24小时告知客服,免费完成手续。否则将无法受理。
持卡人因疾病、意外伤害或怀孕可享受连续不多于12个月的免费冻结时间。办理时必须提供三级甲等以上医院出具的“不建议运动“证明或怀孕有效证明。请至少提前24小时告知客服,一并提供证明,完成手续。
课程卡临时冻结期限到期后,将自动恢复,并开始继续计算时间或有效期。本工作室将不另行通知提醒。
第五条 课程卡仅供本人(以本合同首部”姓名“一栏印刷体为准)使用,不得出借他人或由他人使用。
第六条 持卡人应个人原因,无法继续此协议内的服务内容。可由持卡人自行转让,并告知提前转让信息,本工作室收取500元的手续费用。工作室将和接受转让方重新签署协议。
第七条 持卡人对本工作室设施、物品造成损坏,需按市场价格赔偿。
第八条 课程卡启动:“卡种有效期”为会员在本工作室在线预约系统激活日为启动时间。
第九条 持卡人在购买本工作室“会籍服务”或“课程卡种”的72小时内,卡未激活状态下,可无条件享受退款;持卡人需支付消费的10%的手续费,退款周期为30天。
第十条 持卡人在课程卡种有效期到期后,可自行延续相同内容,或选择其他卡种。本工作室在收到相应的款项后,方可完成续卡,开设新卡种的手续。
第十一条 所有首次体验卡种(包括首次体验2次卡、首次体验10次卡和首次体验月卡等)持卡人只可享受其中一种。不可叠加购买。
第十二条 未满18周岁的体验者,必须获得法定监护人的书面许可,或由监护人陪伴一起参与课程。
第十三条 在持卡人签署本协议后,本工作室不负责就持卡人接受集体课程服务的身体状况及能力向持卡人提出医学意见和建议。如持卡人在签署本协议之时或之后有任何健康方面的担忧,应在参与集体课程或私人训练之前咨询专业医生。
第十四条 为了保证持卡人健身运动的安全与舒适,持卡人必须文明穿着进场,即必须在运动时穿着与之相应的运动服装并不建议佩戴首饰,持卡人因锻炼时衣着不符合运动需求,经本工作室交涉仍拒绝纠正的,则本工作室有权中止持卡人当节课程。并按照规定扣除课时或有效期限。
第十五条 为保障持卡人安全,非课程期间,持卡人不得在无本工作室教练指导下,自行训练。除持有健身教练资格资质的专业人士外,需向本工作室工作人员提供相关证明,并获得许可。相关责任由持卡人自负。
第十六条 健身过程中,持卡人必须在本工作室教练指引下使用各种健身器械。因无人指导而错误使用健身器械导致的人身伤害等意外情况,本工作室无需承担责任。
第十七条 持卡人在参加训练前和训练过程中须确保自已的身体处于健康状态,没有不存在任何诸如:心脏病、精神病、肺结核、哮喘病、支气管炎、肝炎、肺炎、咽喉炎、癫痫等不适合运动的疾患和身体损伤。非因工作室原因,持卡人同意在运动中因身体不健康而引起一切损伤及后果,相关责任由持卡人自负。
第十八条 持卡人患有以上疾病,且隐瞒病情入场锻炼的,本工作室一经得知有权终止持卡人资格,并保留追究其法律责任的权利。
第十九条 持卡人不得在本工作室从事商业经营性业务,例如,兜售营养品、收费教课等,否则本工作室有权要求持卡人离开工作室并解除本协议。
第二十条 持卡人的个人行为严重影响其他持卡人正常运动的,经本工作室交涉仍拒绝纠正的,则本工作室有权立即解除本协议。如造成本工作室或第三人伤亡的,本工作室有权要求该持卡人赔偿(包括但不限于经济赔偿,律师费、鉴定费),如由本工作室代为赔偿的,本工作室有权向该会员追偿。
第二十一条 若持卡人发生任何恶意言语攻击他人、打架斗殴、侵犯他人隐私影响工作室经营的行为时,本工作室有权立即解除本协议。如造成本工作室或第三人伤亡的,本工作室有权要求该会员赔偿(包括但不限于经济赔偿、律师费、鉴定费等)。如由本工作室代为赔偿的,本工作室有权向该会员追偿。
第三章 持卡人参与集体团课,特训课程等
第二十二条 常规团课至少3人开课,否则将自动取消课程。本工作室将在课程开始前6小时通过微信,电话或短信形式通知已经预约的学员。
第二十三条 课程预约
常规团课课表每2周更新一次,发布于本工作室官方微信服务号。
所有课程均只通过本工作室官方微信服务号的预约通道在线自助预约。恕不接受微信群、微信私信或公众号留言内的课程预约。
第二十四条 课程取消
课程开始6小时之前的取消,通过本工作室官方微信服务号的预约通道自助取消。
课程开始6小时内的取消,自助取消通道关闭。请联系工作室客服微信或致电:15000553198。会籍服务持有者按照免责取消权益条款,享受相应的免责取消。否则任意次卡直接扣除1次;任意期限卡直接扣除1天有效期限。
课程开始2小时内的取消,任意次卡直接扣除1次;任意期限卡直接扣除1天有效期限。
第二十五条 课程迟到
建议课程开始前15分钟到达教室。为避免影响课程的进行,和持卡人的个人安全,课程开始后10分钟,教室将关闭。持卡人将不能参加此堂课程。
持卡人于课程期间到达工作室,将不予扣除课程。并在当日课程尚有空位的情况下,参加当日其它课程。否则,任意次卡扣除1次课时;任意期限卡扣除1天有效课时期限。
第二十六条 为保障上课环境和质量,工作室所有课程一律不允许非预约持卡人旁听。本工作室教练制定人员和工作人员除外。
第四章 会籍服务持卡人之权利和义务
第二十八条 持卡人根据自身需求,自行选择是否购买本工作室的会籍服务内容。有效期限以本合同开始注明的有效期为准。会籍服务包括:
1节私教课。内容包含身体素质测试,可携带1位闺蜜共同参加。
黑色SMF工作室限量运动服1套。以工作室既有库存为主,可选择1件上装和1件下装
本工作室所提供的限量运动服在有效期内的免费清洗
本工作室所提供的限量运动服在有效期内的免费寄存
每月免费邀请1位闺蜜参加1次团课体验。所携带的闺蜜需提前向工作室预约课程。以自然月计算,过期作废。
会员专享课程。以课表公布为准。购买会籍服务后,可自助报名参加。
成功推荐朋友加入工作室,朋友消费后,可享受消费金额的5%-10%的抵用券奖励。参见现金券票面上的使用规则。
每月出勤率最高奖励。
按照所购买的课程卡种。享受每月限定次数的课前2-6个小时的免责取消。年卡持卡人每月3次,半年卡每月2次,月卡每月1次,10次次卡每月1次。时间以自然月计算。后续次数开始,直接扣除相应的课时或有效期限。
第二十七条 所有会籍服务内提供的任何产品,服务等,均不可调整退换。
第二十八条 会籍服务内提供的免费寄存、清洗服务,适用于会籍服务中提供的运动服。每人限寄存上下装和运动内衣,最多不超过5件
第二十九条 本工作室在清洗过程中,因洗涤原因产生的破损,可按照按照下列条例赔偿:
洗涤运动服使用1-6个月,本工作室根据实际库存,赔偿相对应的会员运动服。
由于运动服的使用频率较高,洗涤运动服使用超过6个月,本工作室不负责赔偿责任,应配合持卡人直到物品老化,报废为止。
洗涤运动服在清洗过程中丢失,本工作室根据实际库存,赔偿相对应的会员运动服。
第三十条 持卡人应爱惜运动服,做到不拖、抹、擦、吸污水等,特别是顽固性污迹,尽量减少二次人为污渍。积极配合本工作室做好归还洗涤工作。在完成运动后,主动将需要清洗的会员运动服归还到前台工作人员处。对于任何遗留在公共更衣室内的会员运动服丢失,本工作室将不承担任何赔偿责任。
第三十一条 衣物在使用和洗涤过程中,不可避免存在质量自然损耗。本工作室对衣物在运动中损耗,损毁和在洗涤过程中,衣物的褪色、缩水、自然霉烂,不可清除的污染等不负责任。
第三十二条 会籍服务内提供的私教课程,主要用于持卡人的体能测试。内容按照本工作室教练指导的实际情况,不可调整更换。
第五章 购买私人教练课程
第三十三条 持卡人自愿购买私人教练课程,本工作室可以根据持卡人训练实际情况配备相应的教练。
第三十四条 持卡人应提前72小时与本工作室约定私人教练的课程时间,按照工作室实际情况安排课程时间。持卡人与教练提前预约后如不能到场,则须提前4小时通知本工作室,否则自动扣除1节私教课时。
第三十五条 持卡人签署本协议时,应保证身体状况良好(无任何医学证明原因、损伤或残疾阻碍),不影响持卡人参与本工作室内的集体课程和私人教练训练服务。
第六章 公共更衣室和更衣柜的使用管理规定
第三十六条 持卡人需保管个人现金、电脑、手机、金银首饰等贵重物品。公共更衣柜为放置衣物等日常用品之用,不建议存放贵重物品,且禁止存放易燃易爆及非法物品。
第三十七条 公共更衣柜为公用临时使用,持卡人无论任何原因离开本工作室时,必须带齐个人物品,清空更衣柜。本工作室不就任何在公共更衣室遗落丢失的物品负责。
第七章 必须申报和禁止的行为
第三十八条 患有皮肤病、传染病、心脏病、高血压、糖尿病、肝、肾功能不良及其他不适合本工作室活动的疾病患者,入会前须向本工作室说明和申报以往的病史,因隐瞒上述各类病史入会后在本工作室发生意外或加重病情的,持卡人应承担相应责任。
第三十九条 持卡人在饮酒后并于体内酒精未分解挥发之前不得进入本工作室参加课程。如有发现,本工作室有权禁止持卡人参与当日的所有课程,且按照持卡人持有卡种自动扣除当天的课时或有效期限。
第四十条 为了保护持卡人的个人权益,前台收银台是本中心唯一指定所有付费项目的收费地点,请持卡人每次消费后向本中心自动索取凭证,并保证约课系统内的卡种和有效期与消费一致。
第四十一条 持卡人如需开具发票,需于消费当月的月底前告知本工作室,一并提供发票抬头,税号及相关信息,逾期作废。按照法律规定,本工作室开具的发票项目为“健身服务费”,不可变更。
第八章 附则
第四十二条 本工作室正式运营后,如因政府法律变更、站乱、自然灾害等不可抗力致无法经营时,自正式停业之日起,本工作室将按月将剩余未使用的卡费退还。(以贵宾权形式的馈赠办理的产品除外)
第四十三条 本协议内首部的持卡人信息如有变更,需第一时间通知本工作室进行修改。
第四十四条 本协议一式二份,本工作室和持卡人各保留一份。经签署生效。
本人已确定阅读此服务合同,同意,接受并遵守上述条款。
Chapter I _GENERAL PRINCIPALS
Article 1 SMF JYL Co., Ltd. is hereinafter referred to as “the Studio”.
Article 2 The Studio and the Cardholder shall comply with this Agreement, and neither party may arbitrarily terminate this Agreement.
Chapter II_CARDHOLDER'S RIGHTS AND OBLIGATIONS
Article 3 The Cardholder has the rights to receive specified and professional services provided by this Studio based on the type of the membership. The Studio has the right to adjust the content of such professional services after giving a prior notice to the Cardholder, according to the actual operational status of this Studio. Subject to the latest Details on WeChat Official announcement.
Article 4 Class Pass cards are available for the Cardholder (subject to the Cardholder Information first mentioned above herein) only, and may not be allowed to be lent to or used by others. (Shared Pass/ Coupons are excluded)
Article 5 If the Cardholder intend to temporarily extend or suspend the card which she holds or enjoys, she shall conform to the following provisions:
> The Cardholder of Annual Pass enjoys the right of card suspension for forty (40) days with no conditions.
> The Cardholder of Six Month Pass enjoys the right of card suspension for twenty (20) days with no conditions.
> The Cardholder may suspend her membership for no more than twelve (12) months for free in cases of diseases, accidental injury or pregnancy. She must provide a certificate for “Not Recommended for Sports” or pregnancy issued by a hospital of grade 3A or higher level.
Please inform the Customer Service at least 24 hrs in advance and complete relevant formalities free of charge; otherwise, the suspension request may not be accepted.
Upon expiration of such temporary suspension, the course cards will be recovered automatically, and the time or term of validity will continue to be calculated. The Studio will not send a separate notice or reminder. Even after the course is cancelled, the time will still be calculated accordingly. If Cardholder needs to make another reservation of the course before the reactive time, please contract customer service for manual operation.
Article 6 The starting time for the course card shall be the time when the Cardholder activates the card through the online reservation system of this Studio. The term of validity for the card shall commence as of the starting time.
Article 7 The Cardholder will be able to request refund without active the card. 20% of the total consumption will be charged as the service fee. The refund period is thirty (30) working days.
Article 8 The Cardholder may renew the same Pass after the expiry date, or choose another Pass which are the same type. (except for any special promotion Pass). The card can only be reactivated or added after receiving the full payment.
Article 9 The trial pass can be only purchased once (including the Trial 2 session group pass and Trial 10 group pass, etc.) and used repeatedly.
Article 10 The experiencers who are under the age of eighteen (18) must obtain the written approval of their statutory guardians or participate in the courses in the company of their statutory guardians.
Article 11 This Studio is not liable to provide medical suggestion and advice for the Cardholder with respect to his/her physical conditions and abilities for receiving group class services after the Cardholder signs this Agreement. If the Cardholder has any concern about his/her health when or after he/she signs this Agreement, he/she shall consult with professional doctors prior to participation in such group classes or private training, and decide whether to accept such class services and training according to doctors’ advice (such physical quality tests as provided by this Studio may not substitute for doctors’ suggestions and diagnosis, and therefore cannot be the standard which decides whether the Cardholder is healthy or not). The Cardholder shall be responsible for all damage and consequences arising out of his/her unhealthy condition.
Article 12 In order to ensure safety and comfort, The Cardholder must be dressed in civilized costume, that is, he/she shall wear suitable sportswear; and jewelries are not recommended during exercising. This Studio has the right to suspend the current class and deduct the class period or term of validity according to its rules if the Cardholder’s clothing does not meet exercise needs when taking exercises and he/she refuses to correct after this Studio interferes.
Article 13 For the purpose of ensuring safety of the Cardholder, he/she may not take exercises by him/herself without guidance of this Studio’s trainers during the time when relevant classes are not given, , unless the Cardholder is a professional person with fitness coach qualification, and in which case, it is required to provide relevant proof to the staff of this Studio and obtain our approval. Relevant responsibilities shall be borne by the Cardholder itself.
Article 14 During workout, the Cardholder must use the fitness equipment under guidance of this Studio’s trainers. This Studio may not undertake any liability for accidents such as personal injuries caused by incorrect use of fit equipment without any guidance.
Article 15 The Cardholder must ensure that he/she is healthy and does not have such diseases or body injury which make he/she unfit for exercise. When and before the Cardholder takes exercises. The Cardholder shall be liable for all injuries and consequences for his/her unhealthy condition during exercise and for reasons not attributable to this Studio (such physical quality tests as provided by this Studio may not substitute for doctors’ suggestions and diagnosis, and therefore cannot be the standard which decides whether the Cardholder is healthy or not).
Article 16 The Cardholder may not carry out commercial and operational business in this Studio, such as peddling nourishment and charging for instruction; otherwise, this Studio has the right to ask the Cardholder to leave and terminate this Agreement.
Article 17 Where the Cardholder damages facilities and goods of this Studio, he/she shall make compensate according to fair market values.
Article 18 In case that any of the following circumstances occurs to the Cardholder, this Studio has the right to immediately terminate this Agreement and not refund any expense or make any compensatory payment:
> If cardholder’s personal behavior seriously affect other cardholders’ rights.
> The Cardholder conducts any act which breaks laws or infringes others’ benefits, such as any malicious verbal attack on others, fighting, and infringement upon others’ privacy; or
> Any of the Cardholder’s acts affects normal operation of this Studio.
> The Cardholder has repeatedly violated the operation rules are regulations of the Studio.
In the event that the Cardholder causes death or personal injury to any of this Studio’s personnel or any third party, this Studio has the right to require the Cardholder to make compensation (including but not limited to economic losses, attorney fee, and appraisal cost). If this Studio make such compensation, it shall be entitled to make a claim against the Cardholder (including but not limited to economic losses, attorney fee, and appraisal cost).
Chapter III_CARDHOLDER'S PARTICIPATION IN GROUP CLASSES, PRIVATE CLASSES, BOOTCAMPS, WORKSHOPS AND OTHER CLASSES
Article 19 Normal group classes shall have three (3) persons at least; otherwise, they will be cancelled. This Studio will notify the Cardholder who has made reservation for such classes Six (6) hours prior to commencement of such classes through WeChat, telephone or short message by using the contact information left by the Cardholder.
Advance booking is available 5 days prior to the date of the class.
The normal group class schedule will be updated every two (2) weeks, which shall be published through this Studio’s WeChat Service Account “Supermodelfit”.
All classes shall be only reserved through the reservation channel of this Studio’s WeChat Official Service Account. Class reservation through other methods such as WeChat group, private messages through WeChat, or leaving a message on the Public Service Account is not acceptable.
To ensure the best health and training results for Cardholder all Cardholders can reserve up to 2 classes per day.
Article 21 No-show and Late Cancellation
In case of cancellation six (6) hours prior to commencement of such classes, the Cardholder may cancel by himself/herself through the reservation channel of the Studio’s WeChat Official Service Account.
The self-cancel channel closes within Six (6) hours of the start of the class. If the Cardholder need to cancel, he/she need to contact Studio Customer Service WeChat or call: 150 0055 3198. Membership Service Holders can enjoy the free cancellation according to the latest membership service term released by the Studio.
Otherwise any Session card will be directly deducted one (1) class period; and any Date card will be directly deducted one (1) day of valid period.
Article 22 Being Late for Classes
It is recommended to arrive at the classroom fifteen (15) minutes prior to commencement of such classes. In order to avoid affecting studio process and personal safety of the Cardholder, the classroom will be shut ten (10) minutes after the class begins, and the Cardholder will not attend this class.
The hammock height must be measured in advance for all aerial classes. So once the class starts, the class room will be closed and Cardholder who are late for the class will not be able to attend the class.
All marked as advanced, level 2 or special classes, the class room will be closed and Cardholder who are late for the class will not be able to attend the class.
The Cardholder who arrive at the Studio before the end of the class can sign in, and the date card will not be deducted days. The Cardholder may choose to change class free of charge if other classes are still available. If there is no free class or valid class, the Session Card will still deduce one class
Article 23 In order to ensure good class environment and quality, no cardholder without reservation is allowed to be present as an observer at any of this Studio’s classes, except for this Studio’s specified coaches and staff.
Chapter IV_RIGHTS AND OBLIGATIONS OF MEMBERSHIP SERVICE CARDHOLDERS
Article 24 The Cardholder shall purchase the Studio’s membership services based on his/her own needs. The term and details of The membership services are subject to announcement by the Studio
Article 25 Member PT contained in the membership services are mainly used for physical quality tests for the Cardholder. Their contents shall be subject to the actual conditions under guidance for the Studio’s trainers, and may not be adjusted or exchanged.
Article 26 All products, services and the like contained in the membership shrives may not to adjusted, returned or exchanged or refund if no quality issues exist.
Article 27 Such free deposit and cleaning services contained in the membership services shall only apply to the sportswear contained in the membership services. Each member may only deposit no more than five (5) pieces including top, bottoms and sports bars in total.
Article 28 The Studio may make the following compensation for any damage arising out of washing-up during laundry:
If the sportswear delivered for washing-up has been used for less than three(3) months, the Studio will compensate such sportswear based on the actual inventory.
The Studio will not undertake the liability for compensation for such sportswear which has been used for more than three(3) months due to high frequency of use.
The Studio will compensate sportswear based on the actual inventory if the sportswear is lost during laundry.
Article 29 The Cardholder shall take good care of her sportswear, may not mop, wipe, scrub, or absorb dirty water with such sportswear, especially not contaminate them with stubborn stain, reduce secondary man-made smudge as possible, and actively cooperate with the Studio in return and cleaning.
Article 30 After the classes, The Cardholder shall take the initiative to return her sportswear to the receptionists. The Studio will not undertake any liability for the compensation for loss of any member’s sportswear left in the locker room or any public area.
Article 31 The wardrobe includes at the membership service is held by each Cardholder and stored separately. Without the permission of the Cardholder, no one is allow to lent to others.
Chapter V_PURCHASING PRIVATE TRAINING COURSES
Article 32 The Cardholder may voluntarily purchase private coach courses, and this Studio will offer proper coaches based on the actual conditions of his/her training.
Article 33 The Cardholder shall make a reservation for private courses 72 hours in advance with this Studio, which will arrange the course schedule according to actual conditions. If the Cardholder fails to arrive on time after he/she makes reservation with the coaches, he/she shall give a notice to this Studio Six (6) hours in advance; otherwise, this Studio will automatically deduct one (1) private training class.
Article 34 When the Cardholder signs this Agreement, he/she shall ensure that he/she has a good health condition (for example, he/she did not have any disease, injury or is not disabled), and such condition will not affect the Cardholder’s participation in this Studio’s group courses and private coach training services.
Chapter IV_MANAGERIAL STANDARDS FOR PUBLIC CHANGING ROOMS AND LOCKERS
Article 35 The Cardholder shall take good care of his /her cashes, computers, mobile phones, gold and silver jewelries, and other valuables.
Article 36 The lockers are used for keeping necessities including clothes, and it is not recommended for keeping valuables, and is prohibited to keep dangerous goods such as inflammable and explosive articles, and unlawful materials. Once this Studio discovers that the Cardholder keeps such dangerous goods and unlawful materials, it has the right to dispose of such goods and materials and pursue relevant responsibilities against the Cardholder.
Article 37 The lockers are used for temporary public purpose only. The Cardholder must take away all of his/her personal articles and empty the locker before he/she leaves this Studio for any reason. This Studio will not be responsible for any loss of such articles at the public changing rooms.
Chapter VI_ACTS WITH MUST BE REPORTED AND PROHIBITED
Article 38 The Cardholder who has skin diseases, infectious diseases, heart diseases, hypertension, diabetes, hepatic and renal dysfunction, and other diseases which make him/her unfit to take part in the exercises provided by this Studio, shall specify and report the medical history of diseases to this Studio, and shall undertake corresponding responsibilities for accidents or aggravation of diseases after admission into this Studio without disclosing such medical history.
Article 39 No Cardholder is allowed to enter into this Studio for any class after he/she drinks and before the alcohol decomposes. Once this Studio discovers, it has the right to prohibit the Cardholder from participating in all classes on the same day, and automatically deduct the class periods or valid term on the same day based on the type of the card which the Cardholder holds.
Article 40 In order to protect the Cardholder’s personal interests, the Cashier Desk of the Reception shall be the only charging place specified for all payment projects. The Cardholder shall voluntarily ask for receipts after he/she makes payment, and ensure that the type and term of validity of the card in the reservation system are consistent with those relating to the card which he/she holds for consumption.
Article 41 If the Cardholder intends to obtain invoices, it is required to notify this Studio prior to the end of the current month, along with relevant invoice title, tax number, and other information. Such invoices will not be issued after such period expires. According to law, the invoice item for those issued by this Studio is “fitness service fee”, which is unchangeable.
Chapter VII_SUPPLEMENTARY PROVISIONS
Article 42 After this Studio is in official operation, if the Studio is unable to operate due to force majeure such as movement law change, station disorder, natural disaster, etc. The Studio will not assume any remaining unused part of the reimbursement.
Article 43 In case of any change to the cardholder information first mentioned above herein, the Cardholder shall immediately give a notice to this Studio for modification.
Article 44 Any supplementary agreement made to implement the service projects hereunder, shall take effect after this Studio affixes its common stamp or the authorized representative and the Cardholder sign thereon. Such supplementary agreement shall have the same effect as this Agreement.
Article 45 Formation, validity, performance, dissolution, termination and interpretation hereof and dispute settlement shall be governed by laws of the mainland of the People's Republic of China (i.e. excluding the Hong Kong Special Administrative Region, Macao Special Administrative Region, and Taiwan).
Article 46 Any controversy, dispute or objection between the parties hereof arising out of or in connection with this Agreement shall be resolved by this Studio and the Cardholder through amicable consultation. In case of failure to reach an agreement, either party may file a lawsuit to the court in the place where this Studio is located.
I confirm that I have read and understood all contents of this Agreement, and consent to accept and comply with such terms.
